Terms of Service

1. Acceptance of Terms
By accessing or using Ikenga Software Factory ("ISF"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
ISF provides an AI-powered software development platform that analyzes project requirements, generates development roadmaps, and connects clients with skilled builders to deliver software in discrete, fixed-price units called "chunks."
3. Chunk Approval and Payment
Each development chunk must be explicitly approved by the client before work begins. Payment is due upon approval. The quoted price for an approved chunk is fixed and will not change. Clients may cancel unapproved chunks for a full refund at any time.
4. Intellectual Property
Upon full payment for a delivered chunk, the client receives full ownership of all code, designs, and assets created as part of that chunk. ISF retains no licensing rights over delivered work. Clients own their repositories from day one.
5. Revisions
Each chunk includes a defined number of revision rounds to ensure the delivered work meets the approved specification. Revisions requested outside the defined scope may be treated as new chunks.
6. Confidentiality
ISF treats all client project information as confidential. We will not disclose your project details, business plans, or proprietary information to third parties without your consent, except as required by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, ISF shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for the specific chunk giving rise to the claim.
8. Termination
Either party may terminate the working relationship at any time. Clients retain ownership of all delivered and fully paid chunks. Work in progress at termination will be handled on a case-by-case basis.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through arbitration in Lagos, Nigeria.
10. Changes to Terms
We reserve the right to modify these terms at any time. We will notify active clients of material changes. Continued use of our services after changes constitutes acceptance of the updated terms.
